“STUDIO4℃FUN&” (hereinafter referred to as "Service" or "Website") is operated by Beyond C. Co., Ltd., the rights management company of STUDIO4℃ Co., Ltd. (hereinafter referred to as "Beyond C." or "we" or “the Company”). This Terms of Use explains important and legally binding terms to use STUDIO4℃FUN&.

You are required to agree to all the Terms on this Terms of Use page to use STUDIO4℃FUN&. Also by using STUDIO4℃FUN&, you are deemed to be agreed to all terms and precautions that have been defined on the website.

1. Definition

Terms used herein shall be as defined below.

1 ) “Service” means any and all services provided by Beyond C. via “STUDIO4℃FUN&.”
2 )“Member” means those who has agreed to the Terms of Use and applied for registration as a Member in accordance with the procedures provided by the Company and has been approved by the Company.
3)“Project” means a project planned and launched by STUDIO4℃through the Service to gather the Supporters.
4 )“Return” means project outcomes such as deliverables, messages or reports which will be provided to Supporters by STUDIO4℃ as a result of execution of a Project.
5 )“Project Supporter” or “Supporter” means the Member who has decided to support the Project and has completed the payment of pledged money.
6 )“Registered Information” means any and all information provided by the Member to use the Website and receive the Service.
7 )“Personal Information” means the Registered Information that identifies a particular individual, including without limitation the name, address, date of birth, telephone number, e-mail address, information on the account with financial institutions and credit card information.
8 )“Certified Information” means the Registered Information that is necessary for the Company to authorize the connection by a Member and that contains an ID and password.

2. About the Service

STUDIO4℃ FUN& is a crowd-funding site operated by Beyond C., the rights management company of STUDIO4℃, which is established for STUDIO4℃ to connect and interact directly with users in creating new video works and products. This service only offers creative projects which are planned and launched by STUDIO4℃.

3. Membership Registration

Users shall apply for the membership registration in a manner provided by the Company.

. The Company may not approve the application for the membership registration if any one of the situations listed below applies.
1 )The application contains a misrepresentation.
2 )The Applicant was engaged in any act that prevents or inhibits, or in the Company’s opinion may prevent or inhibit, the Company from operating or providing the Service or other Members from using it.
3 )Otherwise the Company considers it inappropriate to approve the application for registration.

4. Change of Registered Information and Control of Certified Information

The Member shall control the Certified Information at its own responsibility and cost and shall not allow a third party to use it nor loan, assign, sell, buy, pledge, publicize or otherwise handle it.
The Member shall assume liability for damage from leakage, erroneous use, third party’s use, unauthorized access, etc. of or to the Certified Information due to its insufficient control and the Company shall not assume any liability for that. Should any damage be incurred by the Company due to unauthorized use of the Certified Information, the Member shall compensate for such damage.
If the Registered Information is changed or if the Certified Information is known to a third party or is suspected to have been used by a third party, the Member shall immediately notify the Company to that effect in a manner prescribed in the Terms of Use and provided by the Company and shall follow instructions of the Company, if any.
If the Member suffers loss, such as non-use of the Member Service, due to a failure to notify under the preceding paragraph, the Company shall not assume any liability for that.

5. Personal Information

The Company shall handle the Personal Information in accordance with its Privacy Policy. Based on Japanese law and respect for the individual, the Comapny is obligated to protect any personal information, use it for appropriate purposes, and take necessary measures for the safe management of such information under control of a manager in charge. 6. Prohibitions

In using the Service, the Member shall not be engaged in any of the acts which are stated below or any act which may cause any of the situations stated below.
1 ) Using any products or contents such as including but not limited to pictures, artworks, motion pictures, texts and music provided by Projects, exceeds the range of personal use approved by the Copyright Law by means such as including but not limited to duplication, publishing, screening, transferring, public transmission, making the Products transferable, or modification.
2 )Act to infringe the legitimate right of the Company or third party, including without limitation the ownership, all intellectual property rights including copyright, portrait right and publicity right
3 )Act to disadvantage or damage another Member or the Company or third party
4 )Act against the public order and good moral
5 )Act against the laws, ordinances and the Terms of Use
6 )Act intended for commercial gain in relation to the Service which is not approved by the Company
7 )Act to prevent the operation of the Service
8 )Act to use the Service for a commercial purpose outside the scope of the Service
9 )Act to discredit or disrepute the Service
10)Act to register false information
11)Act to use the Service illegally
12)Any other act considered by the Company to be inappropriate

In the event of violation of the prohibitions prescribed in this provision, the Company may stop providing the Service and/or withdraw the violating Member. If any of the prohibitions prescribed in this Article is violated whereby the Company incurs any damage, the Member must compensate for the damage incurred by the Company.

8. Intellectual Property Right, etc.

Any and all rights (including without limitation the ownership, intellectual property rights, portrait right and publicity right) to the materials composing the Service (i.e. texts, photos, images, voices and the like and these being hereinafter collectively referred to as the “Contents Materials”) shall belong to the Company or third-party owner of such rights.
The Member shall not obtain any right for the Contents Materials and shall not be engaged in any act that infringes any right to the Contents Materials, including without limitation the ownership, all intellectual property rights including copyright, portrait right and publicity right, without permission of a right owner.
If any problem takes place due to a violation of provisions of this Article, the Member shall settle such problem with its own cost and responsibility and in no event shall trouble or damage the Company.

9. Suspension, Termination and Modification of Service

Members agree that the Company does not guarantee, represent, or warrant that Members’ use of Service will be uninterrupted or error-free, and that from time to time the Company may remove Service indefinite periods of time, or terminate Service at any time, without notice to users. The Company may modify Terms of Use, Service and any other information contained in the Website at any time without notice to Users. Such modifications and additional terms and conditions will be effective immediately.
When the Company intends to revise the Terms of Use, it shall notify the Member from time to time on the Service site “STUDIO4℃ FUN&: www.fun-and.studio4c.jp”.
The Company shall not be responsible for any damages and losses arising out of such suspension, termination, or modifications.

10. Disclaimers, Limitation of Liability

The Company makes no representations or warranties as to the accuracy, adequacy, completeness, or appropriateness of any information provided on this website.

The Company shall not assume any obligation to compensate for any damage arising out of the late delivery or non-delivery of e-mail due to a failure of the computer system intended to provide the Service or an erroneous indication on the Service page (including the erroneous indication of price and quantity) or any other reason and shall not assume any obligation to fulfill the sales agreement in accordance with the erroneous indication.

The Company shall not assume any obligation to compensate for damage arising out of the environment, etc. of the computer, connection, software, etc. used by the Member.

The Company does not represent or guarantee that Service will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion, and The Company disclaims any liability relating thereto.

The Company shall not be held liable for any damages and losses arising out of any delay, faults, suspension, termination, and/or modifications of Service, Terms of Use, and any other information contained on this website.

The Company shall not assume any liability for any trouble which may occur between the Member and a third party (i.e. suggestion of an illegal act or act against the public order and good moral, defamation, insult, infringement of privacy, threat, defame and slander, harassment, etc.) with respect to the Service supplied by the Company.

13. Applicable Laws and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. Any controversies and disputes which may occur between the Member, the Company and a third party in connection with the Service shall be consulted in good faith each time for settlement.
Any controversies and disputes arising from or relating to contracts which is not settled after consultation shall be submitted to the Tokyo District Court or the Tokyo Summary Court as the Court of first instance.
